98 - 2000 setup caught in loop

I am helping a friend upgrade OS from 98 to 2000. We now have a fatal error
which causes machine to dive into setup each time it reboots following an
error message on a small black screen like

Setting file system to NTFS
Partition is already NTFS.

resuming set up.....
