SP3 did install, is that why updates all fail?
Since then:
KB951376 = Fail
IE7 = Fail
Installed IE7 manually, then a Security patch for IE7 failed, yikes!

What shall I do? Is the Msft update team trying to resolve this?

That's what happened to me too, I installed SP3 and, since then, haven't been
able to install any updates on my laptop.
IE7 security updates, everything.

It seems i'm getting the same problem.. since SP3 i've got 2 updades
refusing to install (KB951376 and Microsoft .NET Framework 1.1 Service Pack
1). Both downloaded fine, but fail to install. I just tried clearing temp
files, cookies, and history, but no luck. I'm not sure why i even need .net
1.1 sp1 when I already have .net 2.0 installed (seems redundant). I've even
tried installing in safe mode (with networking), but Windows Update won't
load properly. Even tried updating during shutdown, but still nothing. The
addage "If all else fails, try rebooting" doesn't seem to apply here. Any
other ideas?

Ok, quick update.. I looked at the link and re-registered the .dll file,
which got the security update to install (though I haven't done a repair to
windows that I recall). However, the .net 1.1 sp1 is still failing. Now
it's giving me errors during installation. The first attempt said
"SL179.tmp encountered an error and needs to close," and i've got the same
error two more times but with files SL90.tmp and SL134.tmp (if that helps).
So I'm diving back into the usegroup now to search on that. Any help is
appreciated. and TY for the link.

Another quick update before I reboot.. I found

in another thread so i'm attempting the .net cleanup. However,
The instructions say to run msizap.exe which is nowhere to
be found on my machine and didn't come with the cleanup tool.

Did you install WinXP SP3 via Windows Update or manually?

What anti-virus application or security suite is installed? What
anti-spyware applications (other than Defender)? What third-party firewall
(if any)? Were ANY of these applications running in the background when you
installed SP3 (and/or SP2)?

The above notwithstanding:

1. Write down what .NET Framework versions are already installed before you
go uninstalling/removing any of them!

How to determine which versions of the .NET Framework are installed and
whether service packs have been applied

2. Now see Resolutions Methods 1 or 2 in
http://support.microsoft.com/kb/923100 (ignore the title).

I have Zone Alarm Security Suite '08 installed and was most likely running
when I installed sp3, however, I don't recall getting any alerts during the
install. At present I have both ZA and ESET Smart Security running, but
neither are giving alerts to any of these windows update processes. The
reson I tried to update in safe mode was because I couldn't figure out how to
turn off ESET without uninstalling it. It loads automatically and won't give
me a right-click menu on the tray icon. Are you thinking I need to reinstall
sp3 entirely (sans ZA+ESET)?

ps. sp3 was a windows update install, not manual. and i've already wiped
..net 1.1 again (prepping to reinstall) as far as I know i've only had .net
1.1 and .net 2.0 installed. v2.0 came with some extras, but i'm not
uninstalling any of the files pertaining to v2.0 that i'm aware of.
