BSD KMODE_EXCEPTION ntoskrnl.exe

I posted this on another list with no response. I have googled, still
can't find out anything. Some here here I hope?

I just started getting this problem. The machine has been running
windows2k pro for over a year without this happening. I do the
automatic updates.

When I restart I get the blue screen with this message:

KMODE_EXCEPTION_NOT_HANDLED 0x0000001E (0xc0000005, 0x804dc340,
0x00000000, 0x00000004) ntoskrnl.exe

This seems to happen in the shut-down process.

If I hit reset button it boots fine, but if I power down windows with
"Restart" selection I get blue screen every time.

I have the 4 floppy install disks and try to run recover mode but it
dies when I get to that point -- all 4 floppies read, then I select
recovery mode and it goes to blue screen.

I have the windows msn set win2k disk which doesn't boot and doesn't
seem to have recovery console on it.

What should I do?

I also have winxp disk which i installed on another computer which has
since died. Can I use that disk on a new machine or will I run into
copy protection issues? At any rate is it possible to upgrade from
win2k to winxp?

I would prefer just getting win2k to work properly again. I have run
spybot destroyer, and run zone alarm all the time. No viruses or
spyware appear to be present.

One more piece of additional information that may or may not mean
anything: Since I built this machine, when I shutdown, it never turns
off. It always restarted. I surmised this was a hardware problem, but
when I booted a knoppix live cd it worked fine and shutdown properly. I
did notice that I got some error in bios about not having 80 line ide
drive cable -- I had a 40 line cable. So, I changed to 80. Still it
didn't shut down, although the bios message went away. Now, a couple of
months later I get this KMODE_EXCEPTION upon restart or shutdown. I can
press hard reset and it boots fine.

But it makes me nervous and I want to get rid of it!

Searching the MSKB for just *titles* for your Stop code shows over 50 hits.
