Your PC is (or has been) infected by a virus. This is an old one from some
years ago, and I can't remember the details of what it was called. The
ftp.exe that is "in use" is not the original Windows version, but a false
version put there by the virus. Please note that ftp.exe is not the only
file which will appear to be locked in this way - it is just the first that
you hit when trying to install SP2.
You might try using the "attrib" command to remove any Read-only, System, or
Hidden attribute on ftp.exe, and then delete it.
If ftp.exe appears to be running in Task Manager, then kill that process.
You should disinfest this PC of all viruses and worms before trying to
install SP2 again.
