tried to install the SP2 but fails and pops the message saying that the key
we used to install XP was invalid, our license is valid..... are there
remedies for this other than reinstalling everything.... it possible to
change the key w/o reinstalling? any suggestions will be highly appreciated

Same here...for over a year--but I've been too paranoid to ask for help, in
case my software really ISN'T valid and something BAD happens...Is there a
way to save the contents of my computer and STILL install a new O/S?

Yes, perform a Repair Installation using valid CD and Product Key:

Yes, the Volume License key can be changed:
http://support.microsoft.com/Default.aspx?kbid=328874
This will only work if the new key is also Volume License.

However your IT department should be aware of this and they may need to
resolve this for you.
