Yes, it is hardware based. At time of initial activation, it takes an
inventory of numerous hardware components. If anything changes, such as a
new video card, or trying to clone it to a different machine. It even
doesn't matter if is the same exact name brand, because various hardware
components have individual serial numbers.

Your solution, for what you are trying to do, is to purchase a VL (Volume
License) copy. I'm a part time trainer, and we use cloning for the
instructor and student machines, constantly using the images between various
centers, classrooms, VMs, etc, and the only version of Windows (XP, 2003,
Vista and 2008), we must use to allow us to do this, are the VL copies.
