Hi
Please try the following:
Click Start >> Run >>
Type the follow command in the Open box.
"net.exe stop wuauserv" (w/o quotes)
Press Ok
Repeat the same for the following commands:
regsvr32.exe wuapi.dll
regsvr32.exe wups.dll
regsvr32.exe wuaueng.dll
regsvr32.exe wucltui.dll
regsvr32.exe msxml3.dll
net.exe start wuauserv
Restart the machine and try WU site again.
If that doesn't help:
Please check this log file for any clues or other error messages:
%windir%\WindowsUpdate.log
(%windir% is typically C:\Windows)
Also, before installing SP2, you should take a look at the
following sites:

How to successfully install Windows XP Service Pack 2.

Alternatively, instead of using Windows Update, I suggest you
download the full SP2 installation and use it to install SP2.
SP2 is available at the Microsoft Download Center
(standalone"network" version, 266 MB):

If you think that download is to large, you can get the same
file on a CD from Microsoft.
