CPU runs continually

My lap top over the past few months has been getting worse by the day.
(1) system idle process seems to run non stop
(2) computer will not go into the sleep mode. The best it gets is to the
'flying objects' windows saver
(3) whenevr I open the Office Small Business Edition it now asks me to
install the disk 2 for 'contact update'
(4) I run a 'paid version' of Webroot Spy Sweeper
(5) as I enter this data the CPU usage is showing 2% to 10% on a fluctuating
basis and the system idle process - SYSTEM in the Windows Task Manager shows
between 95 and 98 CPU
(6) can anyone help me to resolve this?

Windows version? How does your problem pertain to Windows Update, Phil?

Thanks for the response. I did not know where else to put it! Can you suggest
a location?
