Do I need this .Net Framework Update ??

I am using Windows 2K Pro.

Windows Update insists that "Microsoft .NET Framework 1.0 Service Pack 3" is
a Critical Update for my PC, but I have "Microsoft .NET Framework 1.1
Service Pack 1" installed. Of course, when I try to install FW 1.0 Service
Pack 3, it failed.

What do I need to do to let Windows Update knows that I do not need this
update (or do I?)?

Mine does. Can't install the update.

Each time I'm able to successfully download, however the
installation itself is interrupted by a screen that reads:

Application has generated an exception that could not be
handled.
Process id=0xb4c, Thread id=0xdc8 (3528)

Then it gives me the options to either terminate or
debug.

Help?

Nope, it just says that the installation failed. the exact message is:
"No Updates Were Installed

The following items failed to install. To try installing them again, click
Review and install updates, and then click Install Now again.

Microsoft .NET Framework 1.0 Service Pack 3, English Version
"
No matter how many time I try. I even download the Service pack and install
it manually without any success.

There is a new update "NET Framework Svc Pack 2" (notice, there is no
version) 6.4M replacing the ".NET Framework 1.0 Svc Pack 3" and it fixed the
problem for me.

Ooops I spoke too soon,

".NET Framework 1.0 Svc Pack 3" is still there in the Critical Update list
and still fail when I try to install it.
