You can install a new Windows Server instance on the same partition without
reformating, if you have the free space to do so. You'll probably need about
40GB free space on the C: partition to do so.
SQL will still need to be re-installed on the new 2008 instance though, so
what would your gain by doing this?
Inplace upgrading from SBS2003 to Server 2008 (32bit) is not a supported
option, TTBOMK.
