Follow this (if applicable):
http://v4.windowsupdate.microsoft.com/troubleshoot/
Look for "While the Windows Update Web site is loading, you receive
Initialization Error 0x80040FF2"

If applicable, check for damaged/missing system files:
Start/Run
Type "sfc /scannow" ENTER
Follow prompts and have Windows XP CD available.

Otherwise follow the Windows Update Checklist:
