error 0xC80003F3 and 0x8007006E

I'm getting the following error messages on Windows 2003 Server. I
registered MSXML3.dll and renamed c:\Windows\SoftwareDistribution but
still get the same errors. Going to windowsupdate.microsoft.com doesn't
go anywhere either. Thanks for your help.

0xC80003F3 - The computer is out of memory

0x8007006E - May be related to the installation location of the Office
media and it's absence

Try registering :

regsvr32 softpub.dll
regsvr32 initpki.dll
regsvr32 mssip32.dll

Restart the system and revisit WU.
If that doesn't resolve the issue then suggest you post to :

WSUS seems to start working after deleted the SoftwareDistribution
folder. It installed some of the patches. After the reboot all the
patches installed. Thanks.
