Error 8007054F - SP2 update

After a million attemps to install SP2 I am still get ting the following
error
message:
After initializing is complete and it is trying to install SP2 I get the
error that FTP.EXE is open or in use by another user while it is inspecting
current configuration HELP - (I need it)

try using the cd version of sp2, it's free, shipping included.
