Error code 0x641 when Using MS Update

I cannot install MS NET Framework 1.1 Service Pack 1 or Update Rollup for
Media Center 2005 (KB 900325) after downloading. I get a Visual c++ Runtime
Error referring to Program: C/WINDOWS/system32/msiexec.exe .... terminating
Runtime etc.
The error code is 0x641
What an I do?
Please help.
