Error Code: 0x643 when installing .NET Framework 3.0: x86 (KB92841

I have just installed (fresh) XP Pro SP2 and went to Windows Updates.
Installed all critical and most of the recommended updates. .NET 3 keeps
(twice) failing and after searching and not finding any info pertaining to
..NET 3 I figured I would post here to see if anyone can point me in the right
direction.
