Suggestion 1:-
Clearing Temporary Internet files, cookies and history in Internet Explorer
Tools>Internet Options>General
You’ll see Delete Cookies, Delete files, Delete History
NB: "Delete all offline content", will delete all files needed to browse the
websites
offline.
Reboot and try Windows Update again.

Suggestion 2:-
The below links assist you in checking your system for parasites:-
http://aumha.org/a/noads.htm
http://inetexplorer.mvps.org/tshoot.html
Please note that some malware may kill the internet connection when it is
removed,
the program on the link below will enable you to regain the internet
connection.

Spyware Programs links:-
www.lavasoftusa.com Ad-Aware
www.security.kolla.de Spybot

Suggestion 3:-
Make sure you haven’t got anything blocking Windows Update like Nortons,
Zonealarm
etc
Also make sure you don’t have a Web Accelerator working in the background
such as
NetZerio, HiSpeed, Speedband etc.

Suggestion 4:
If still receiving the error, then reinstall the Windows Update Engin

Thank you TaurArian;

I did your suggestions and the results are--

Sug1 : Not good, same result, i.e., same error...
Sug4 : Cannot install it because there is already it...

Any other solutions?

Presumably Sug3&4 were also considered.
Check point - is BITS started?

Hmm...
1. I have no kind of [Windows Update blocking] and [Web Accelerator] you've
mentioned.
2. When I try sug4, it say that 'there is already Windows Update Agent, so
cannot go a head install'

BH,

Looks like you're going to have to do some diagnosis then.

E.g. previous threads suggest that that code has something to do
with problems on the link but we don't know exactly what since it
isn't documented (at least in the usual places).

I suspect if you took a packet trace you would find that something
(e.g. a proxy server or firewall) was returning an HTTP error response.

BTW since you are piggybacking on this thread and providing no details
I am making no assumptions whatsoever about what may or may not be
appropriate for your particular case. The least you could do to help I think
is answer the question that TaurArian asked you.

Good luck
