Failed windows update for XP

Update KB942763 is failing to install and comes up with error 0x80070da,
although the update refers to Daylight Savings Time Laws, this has updated
prior to said update even though I have tried to reinstall several times.
Also my PC keeps freezing, I have installed XP PRO & a 1 gig stick compared
to operating with windows 2000 PRO and a 256 stick, can someone PLEASE ADVISE
as I'm at my whits end on how to resolve the freezing problem?
