Fatal Error in 1.1 Upgrade

There are a few threads on this topic, but I cannot find any that have been
answered. When I try to upgrade to the .NET Framework 1.1, I get the
following:

"Fatal Execution Engine Error (0x7926fcd8)"

And then another box:

"Application had generated an exception that could not be handled.
Process id=0x97c (2428), Thread id=0x7d8 (2008)."

The process and thread id's change each time, however.

Please help! I need this to work for a project!
