This worked on 2 of my Windows 2000 Advance Server domain controllers. They
were NOT using a proxy server. The fix is also a combination of 3 previous
fixes that were posted, but I added a couple of comments after each one
(noted with asterisk). Thanks in advance for your posts.

Here's what works for our company:
1. Click on Start, and then click Run.
2. Type cmd in the Open box to get a DOS prompt.
3. Type "net stop wuauserv" without the quotes at the command prompt, and
press
Enter.
4. Delete (or put in recycle bin) the contents of
C:\WINDOWS\SoftwareDistribution (but not the SoftwareDistribution folder)
5. Type net start wuauserv at the command prompt, and press Enter.
6. Now try Windows Update again.

* Makes sure you have the right files in the SoftwareDistribution folder
(Can also be C:\WINNT\SoftwareDistribution for W2K)

You might want to try what Wayne Morgan did to fix this error:

Ok, I got it working. I went to the %windir%\system32 folder and move the
wu*.dll and wu*.exe files to a temporary folder. I coudn't delete them at
this point because some of them were in use. I then went to Windows Update
and it downloaded the WU Install. After a reboot, WU was working and I was
able to delete the files in the temporary folder.

*Do a search on the %windir%\system32 folder using wu*.dll,wu*.exe for the
criteria.
Only move the ones from the %windir%\system32 directory to a temporary folder.
As mentioned, this will download the latest Windows Software. Reboot, but it
still won’t work yet.

Post from Bryan:
If you are not using a proxy server (like most of the real world) try this FIX
If you are using w2k server and get that damn Error number: 0x8024402C when
using the new Microsoft Update do the following:
1) Navigate to HKLM\Software\Microsoft\Windows\CurrentVersion\Int ernet
Settings
2) If you see a connections folder, this is your problem!!!!
3)Export the connections folder and delete it. (export it so you have a
backup of it)
4) You should now be able to go to Microsoft Update and scan without seeing
that damn Error number: 0x8024402C.

*Just do a Custom Scan (it will take longer than usual) and Windows will
find that you need to upgrade components for Windows Update. It will then
download whatever components are needed for Windows Update to work correctly
again. Reboot if prompted and then scan for updates as usual.

*I truly hope this helps. 
