If I knew how to fix the svchost/CPU, MS would hire me <w>. To get
around this issue temporarily, try these steps :
1. Delete the contents of the WINDOWS\SoftwareDistribution\Download
folder [ *Usually* resolves install issues ]
2. Stop the Automatic Update service
Delete the contents of WINDOWS\SoftwareDistribution\DataStore folder
Restart AU
3. If the first 2 steps bring no joy -
Stop AU
Delete or rename the SoftwareDistribution folder
Restart AU
There are 3 MS Knowledge Base articles for the issue :
FIX: When you run Windows Update to scan for updates that use Windows
Installer, including Office updates, CPU utilization may reach 100
percent for prolonged periods

Separate from those is :
The Automatic Updates service may stop responding

The first two deal with an updated version of msi.dll and appear to be
directly related to MU and Office.
The third one states

That is not the same as the CPU issue.
Confusing, no ? I'd try the first 3 things I suggested prior to
contactin MS for a temporary hotfix.
IMHO, the *BIG* issue is that XP needs SERVICE PACK 3 so that the
scanning by AU doesn't have to go over the entire registry and system to
find files/bits/settings that need updating. I doubt that the msi.dll is
the major culprit, but then again, I don't have Office installed and
just briefly see a spike in CPU useage when the system first comes
online and svchost spawns AU.
