GSpot is a program used to diagnose what codecs are needed for
playback of AVIs. On its own it can't determine MPEG4 requirements,
but it has a button to use DirectShow (which underlies media player)
to find that out :
http://www.headbands.com/gspot/
Load the MP4 file into GSpot File -> Open, then in the section at the
bottom 'proposed rendering solutions and tests' click the [1] button
in the column MS A/V
If it says it can't render it, you probably don't have an MPEG4
decoder installed for *playback* - FFDShow is one available :

I'm not sure if just having that installed will help WMP to convert
the file to the formats supported by the phone though - it seems to
vary by device.
How are you actually getting it onto the phone - are you using Sync in
media player, or some other way ?

Oh not much, they're variants of microsofts take on MPEG4 decoders,
but they're not really much cop compared to modern versions
