Hi McClint,
Have you tried installing it without upgrading? I would assume that the
install should work. If not, you could consider upgrading the version of
ActiveSync. Just know that you will miss out on a few features once you
install a version higher then ActiveSync 4.0 as these versions were
primarily designed keeping the Windows Mobile 5.0 and higher versions. It
will support WM 2003 but some features like wireless sync will not be
supported.
