IE S/P 1.1 Update #KB928366

I've recently updated to S/P 3 and am getting an update notice for IE S/P 1.1
Update #KB928366. After I download & attempt to install, I am notified the
update did not install, but continues to attempt to install. Is this update
necessary and if it is, how do I install it?

I'd strongly recommend getting it installed, yes.
