KB958644 fails with 0x80070005 Via Installer or run Natively

Installer and native install of this critical fix are failing with the above
code and here is the last entries in the KB958644.log file. The Windows is XP
Version 2002 at SP3:

25.204: Copied file: C:\WINDOWS\system32\netapi32.dll
25.360: Copied file (delayed): C:\WINDOWS\system32\SET64C.tmp
25.360: Copied file: C:\WINDOWS\system32\DllCache\netapi32.dll
25.547: Copied file: c:\windows\$hf_mig$\KB958644\SP3QFE\netapi32.dll
25.657: DoInstllation: UpdSpCommitFileQueue for FileQueue failed: 0x5
25.766: Access is denied.
25.766: KB958644 installation did not complete.

I even shutdown all firewall and security products with no change to the
errors given.

On my computer, the KB958644 log file follows the DoInstallation: label with

27.156: ---- Old Information In The Registry ------
27.172: Source:C:\WINDOWS\system32\SETDA7B.tmp (5.1.2600.5694)
27.172: Destination:C:\WINDOWS\system32\netapi32.dll (5.1.2600.5512)
27.172: ---- New Information In The Registry ------
27.172: Source:C:\WINDOWS\system32\SETDA7B.tmp (5.1.2600.5694)
27.172: Destination:C:\WINDOWS\system32\netapi32.dll (5.1.2600.5512)

I do not understand this very well, but it would be interesting to find the
place in the registry which references the dll. It seems that the update is
trying to replace netapi32.dll but cannot.

On second thought, the log file seems to indicate that the permissions on
\windows\system32\netapi32.dll are not correct. My systems show full
control for the administrators group.

Usually the pair of file names is added to registry value
PendingFileRenameOperations. Then, when you boot the
required copy, rename, or delete will be performed.

I liked your first guess more. ; )

Doing a manual install with /verbose logging might give more clues
about the implementation. Otherwise I suggest using ProcMon to
supplement the log messages. You can infer when an log message
was actually written (and hence see any preceding file and registry
accesses which might be related to it) by noting the WRITE length
and matching it with a log message's length (e.g. as seen using Notepad
with Wrap off and Status bar on).
