Each time I download the update it will not update it
says it failed... any ideas why..Ref Lucent WinModem

You might want to check out the posts of Agere & pci soft modem (I used
phrase "agere PCI soft modem" in my search criteria. Seems Agere & Lucent
are one and the same.

In my case (dial up through an ISP that recently added a proxy accelerator)
I saw mention of the word proxy during my browsing for answers (dozens of
failed loads for the upgrade), & so called my ISP service desk 1-800-# and
guy there told me to turn off the proxy accelerator option and turn off my
Panda brand firewall while trying to do update load & install, then reboot at
some point so features return to protection level . Worked for me, got
success message.

Maybe was blind luck that I download SP2 before the ISP added a proxy.
