Hello Western,
You have to prepare the exisiting domain with adprep /forestprep adprep /domainprep
and adprep /rodcprep on the 2003 DC, nothing from adprep has to run the 2008
machine.
You can not upgrade the 2003 with exchange 2003 installed. Exchange 2003
does NOT run on windows server 2008. It can be used in a domain with 2008
DCs installed when at least Exchange 2003 SP2 is installed.
Also to demote the 2003 DC you have to uninstall Exchange first.
So either install 2008 on a new machine from scratch, my preferred an suggested
methode, or move exchange to another server and uninstall it form the DC
and then do the inplace upgrade from 2003 to 2008.
