i get the following message when attempting to reinstall windows xp:

windows setup: the option to upgrade will not be available at this time
because setup was unable to load the file D:\i386\WINNTUPG\NETUPGRD.DLL
the system cannot find the specified file.

where can i find NETUPGRD.DLL?

and where do i install it?

I've exactly the same problem as Kaine described above when trying to
reinstall XP. (Missing file D:\i386\WINNTUPG\NETUPGRD.DLL).
I've read your suggestion about the msdart.dll problem. I tried to apply
your suggestion on our problem. But I can't work it out. It just seems to me
to be another problem.
Can you help me out?

That file is on the Windows XP CD in that exact location...
D:\i386\WINNTUPG\NETUPGRD.DLL
Where "D:" is the CD Rom drive where the WinXP CD is inserted.

well, it's not that simple... the file (actually the whole folder WINNTUPG)
is neither on the CD nor in the c:\I386 directory. The file can't be found on
the system.
When I'm looking on my laptop, yes, there it is... but I doubt that copying
this directory on my desktop PC will do any good???
My XP Pro SP2 CD is an OEM (HP) version, this might be the difference?
So how to reinstall XP with this version?

The reason I'm trying to reinstall XP is that after establishing a dial-up
connection the system "freezes" (no reaction to clicks or CTRL-ALT-DEL) for 1
to 20 minutes... no events in the eventlog... no change with another modem...
no change at another ISDN connection... see also this thread:

Your CD is not a Retail Install...

Yes, copy the folder to the hard drive. If you're going to boot to the CD to reformat the drive,
then burn the folder to a CD and point to it when asked.

Yes.

See above... IE: copy the folder from the laptop, and burn it to a CD.

If you have NERO, and know how to make a bootable CD, combine your Windows CD and the folder
from the laptop.

Note: The media differences occur between Upgrade and Full Version installs.
Upgrade media is only available through Retail and Volume Licensing; Full
Version installs are only available through Retail and OEM. The Upgrade
media in Retail and Volume Licensing is identical. The Full Version media in
Retail and OEM is identical.

The WINNTUPG folder is likely on the Upgrade CDROM, but not on the Full
Install CDROM.

I'm having the same issue, but the file is definitely on the CD.

I am attempting to upgrade my OS from XP Home SP2 to XP Professional SP2 and
I am not able to run the setup. I have a brand new Sony Vaio notebook that
came directly from Sony with Windows XP Home SP2 loaded. I also have an MSDN
subscription which contains a Windows XP Professional SP 2 Install Disk.
Everytime I try to run the install I am getting the error message "The option
to upgrade will not be available at this time because setup was unable to
load the file E:\WinXP\PRO_WITH_SP2\i386\WINNTUPG\NETUPGRD.dll %1 is
not a valid Win32 application"

I've tried the following:
1) Run the CD from the disk drive.
This gives me the following error:
"The option to upgrade will not be available at this time because setup was
unable to load the file E:\WinXP\PRO_WITH_SP2\i386\WINNTUPG\NETUPGRD.dll
%1 is not a valid Win32 application"

However, the file is definitely there and in the exact path the error
message references.

2) Copy the contents of the CD to my local harddrive, run the setup from
there. I have read several chat sessions that recommend this, including
several KB articles.
However, this gives me the same error listed in number 1 above

This issue is HUGE for me, as I need to be able to install IIS and develop
by Tuesday evening. Any help would be greatly appreciated.
