Hi,
Over the last several days I have tried to get the update shown below to
work and it always fails. Any help would be appreciated.

The fix has been posted in several threads. Basically you need to
clean out all version of Framework and reinstall them including the
service packs prior to updating.

You need windows installer cleanup tool and the framework removal tool
to remove Framework. You can directly download the Framework packages
including the service packs, install them then do the update.

The problem you have I suspect is that you do not have SP1 installed.
I know it would seem easier to just install the service pack then the
update but that does not work, you need to start from scratch.

All I had to do was download dotnetfx and run it and I was able to complete
my updates.

Why isn't there a relatively simple fix for this problem? Doesn't Microsoft
read these postings? Where do I find dotnetfx?

A1. You *need* to open a free Support Incident! That's how they determine
the number of "dead bodies", not from newsgroup posts.

I think it is due to abscence of .NET Framework 1.1 Service Pack 1


Following step worked fo me:

Uninstall .NET Framework 1.1, I did not uninstall ver 2.0.
Ran windows installer cleanup
Empty C:\windows\SoftwareDistribution
Re-installed .NET Framework 1.1, then Service Pack 1
Windows update page to check for any update, here it found update "Security
Update for Microsoft .NET Framework, Version 1.1 Service Pack 1
(KB928366)"
Installed successfully

Hope it may resolve other's problem
