Besides the RAM, consider that after 2008 (RTM/SP1) MS has said there will
be no more 32 bit Server OS released. As there is no upgrade from 32 bit to
64 bit, consider what your upgrade plans (to R2 and later) might be.
Also consider that if the file server is also used for a print server the
messy 64bit print driver issues with 2008. I've found these to be much less
an issue with 2008 R2 (RC) than with plain 2008. - YMMV.
