problems installing Windows xp sp3

I have tried to install xp sp3 on my computer 3 times and I get a message
that windows has shut down to avoid serious damage to computer and basically
the following:

"Driver_IRQL_NOT_LESS_OR_EQUAL If problems continue disable or remove any
newly installed hardware or software. Disable BIOS memory options such as
caching or shadowing. Technical info:
***STOP: 0x000000D1 (0x004E0057, 0x00000002, 0x00000000, 0xEF00EE81)
***tcpip.sys - Address EF00EE81 base at EF005000, Datestamp 472767f4"

I did not install any new hardware or software other than trying to install
the xp sv3.

Can any one help?

The system attempted to access pageable memory using a kernel process IRQL
that was too high. The most typical cause is a bad device driver (one that
uses improper addresses). It can also be caused by caused by faulty or
mismatched RAM, or a damaged pagefile.
