Hi Vinod--

Check out this doc from Apple which may provide some help and it alludes to
a need to fix the MSI (Windows Installer) so I've given you a link to the
most effective way to do that below (2nd link):

iTunes and QuickTime for Windows cannot be installed without Visual Basic
Script (VBScript)
http://docs.info.apple.com/article.html?artnum=304405

You should have the latest VBscript engine with the installation of Vista.
You could have a problem with the MSI (the Windows Installer) although I
doubt it. The method frequently successful to repair the MSI is in good ole
MSKB "Error 1719" and Method 1 is usually successful:

"Error 1719: The Windows Installer service could not be accessed" error
message when you try to add or remove a program
http://support.microsoft.com/kb/315346

This often fixes Windows Installer Problems even when you don't see the 1719
Error.

While there have been reports of Itunes having problems in Vista, I haven't
had any in any of the Vista builds. This is the second post, I've seen
saying they can't install Itunes.

1) Uninstall any previous versions of Itunes installed (if any) and install
the newest.

2) Type services.msc in the run box (Windows Key +R) and make sure that the
Ipod Service is started and use the automatic start setting. (Right click
it).

3) Upgrade to iTunes 7.1.1 or repair iTunes using the iTunes installer if
version 7.1.1 is already installed.

iTunes and Windows Vista

Itunes Compatibility with Vista
http://docs.info.apple.com/article.html?artnum=305042

Apple has released a new version of iTunes that addresses a number of
compatibility issues with Windows Vista. iTunes 7.1.1 is recommended for use
with most editions of Windows Vista, however, Apple is actively working with
Microsoft to resolve a few remaining known issues. This document will be
updated as more information becomes available.

If you are upgrading to Windows Vista or have purchased a new computer with
Windows Vista pre-installed, here is some information you may find helpful:

Compatibility with Windows Vista
iTunes 7.1.1 addresses a number of known compatibility issues with Windows
Vista. Apple is actively working with Microsoft to resolve a few remaining
known issues, including:

Ejecting iPod from Windows Explorer or by using the "Safely Remove Hardware"
feature in Windows Vista may corrupt your iPod. Microsoft is working on a
software update for Windows Vista which addresses this compatibility issue.
Apple recommends Windows Vista customers who own an iPod install this
software update when it becomes available, click here for more information.
To always safely eject an iPod, choose Eject iPod from the Controls menu
within iTunes.
iTunes may display text or graphics incorrectly on your screen. Resizing the
iTunes window should correct this issue.
Contact Groups from Windows Contacts will not sync with iPod.
iTunes remains unsupported on 64 bit editions of Windows, including Windows
Vista and Windows XP x64.
Upgrading to Windows Vista
If you are upgrading from Windows XP or 2000 to Windows Vista prior to the
next release of iTunes, here are a few steps that will improve your
experience when syncing your iPod or playing iTunes Store purchases once
upgraded to Windows Vista.

Deauthorize all iTunes Store accounts.
Perform a clean install of Windows Vista (highly recommended but not
required).
Upgrade to iTunes 7.1.1 or repair iTunes using the iTunes installer if
version 7.1.1 is already installed.
Open iTunes.
Choose Authorize Computer from the Store menu in iTunes.

Good luck and let me know how you make out,

CH

Vinod--

You'll notice that the Apple error message I linked to mentions the latest
VB script engine, and I meant to mention that one good reflex to possibly
correct this is to run SFC, system file checker. It can fix a number of
corrupt files by scanning thousands of files and supplying an intact file
for a damaged one.

Type cmd into the search box above start>rt. click it and select "run as
admin" on the rt. click context menu>type in sfc /scannow and SFC will run
in Vista.

Register the module vbscript.dll from an elevated Command Prompt window. To open an elevated Command Prompt, click Start, click All Programs, click Accessories, right-click Command Prompt, and then click Run as administrator.

Type the following in the Command Prompt window and press ENTER

regsvr32 %systemroot%\system32\vbscript.dll

And then type the following to exit the Command Prompt window.

EXIT
