ActiveSync 4.0 does not require an Exchange server top sync. You can sync
with Outlook that is NOT an Exchange client, and well as with Outlook that
IS an Exchange client.

You might be getting confused by the new support for Exchange server
synchronization in the initial set up. I think that when you first create a
sync relationship between a Pocket PC and AS 4 you will be asked if you are
synching with an Exchange server. If you aren't syncing with an Exchange
server you can cancel or skip that step in the setup.
