Hello.
I recently installed ActiveSync 4.1 and ran into a similar problem. I keep
my PPC2003 device synced with two PCs (home and work). I had no problems
with ActiveSync 3.7, but VisualStudio2k5 required better (for .NetCF2.0).
After installing ActiveSync 4.1, any file I modify on one PC gets deleted off
of the device when syncing with the other PC (and subsequently off of the
other PC as well).
E.g., I modify a file at home, all synced up fine, then I go to work.
ActiveSync then deletes the old files off of the work PC (like it should).
However, instead of copying the new files off the device to the work PC, it
deletes those, too. My work-around is to stop it from syncing as soon as
possible, manually copy files from the device to the folder, and then let it
do its thing (and replace the files it removed).
My next step is to completely remove the partnerships from both PCs, rename
the device (again), and start over.
If that doesn't work (I'm doubtful), I'm going to go back to 3.7 (and just
suffer when it comes to VisualStudio2k5), and wait for a better version of
ActiveSync.

Well, I deleted the partnerships, renamed the device, and started over.
Syncing was still not perfect (still deleted some files), but better. You'd
think it would be easy to build a program that simply compares files and
keeps the newer of the two (without deleting files on a whim), but I guess
there's something a little more complicated about it than that.
The point is that I simply cannot trust ActiveSync 4.1, until it starts
functioning the way it was intended. If Microsoft ever fixes it, I'll be
pleased.
Like I said, I would revert to 3.7, but VisualStudio2005 requires 4.1. Nice.
