To migrate your users and computers, you should take a look at the Active
Directory Migration Tool (ADMT) - it's a free download from the MS website
that will automate much of what you're trying to accomplish - you'll find a
link for it here:

Likewise you can use the Exchange Migration Wizard to migrate your Exchange
server, you'll find a good tutorial here:
http://www.msexchange.org/tutorials/...on-Wizard.html
(msexchange.org is a great resource site for Exchange topics, you'll
probably find a lot of info there to help you.)
