For a temporary workaround do this ...

go to Start > Run > type in

net stop wuauserv
Click OK

Navigate to the WINDOWS\Software Distribution\DataStore\Logs folder
Delete ALL contents of it.
Now do the same for the Download folder

Close the window and go back to Start > Run > type in

net start wuauserv
Click OK

If the CPU issue does not reappear and the system can successfully
negotiate Windows Update, then empty the Recycle Bin.
It will reappear again until the issue is resolved by MS.

BTW, from http://support.microsoft.com/kb/916089

I doubt the issue was caused by Dell and MS *should* supply the specific
update at no charge. But, as I've written above, it will come back in
spite of the 'specific update' being installed.

After much searching and headaches, this is the only thing that has worked
for me! Although windows update still uses 100% cpu, the duration of this
usage has been cut exponentially!!! Windows update used to cripple my
machine for a good 3-5 minutes and now it is down to only 1 minute. Props to
MowGreen for this fix!

You're mowst welcome BUT ... it was meant to be a temporary fix until MS
came up with the latest version of the Windows Update Agent AND a newer
version of msi.dll

http://support.microsoft.com/kb/932494

Links to download the proper WUA [x86 or x64, shown as 'the WSUS version
3.0 client program' in the above KB article ] and for KB927891 [msi.dll]
are included in the article, spectrefish.
Download the WUA and KB927891 and save them
Close the browser and any other open programs
Install the WUA first, then KB927891
Restart the system
That should rectify the CPU issue
