An upgrade disk is the same as a regular disk. It is your Product Key that
determines how Vista installed. An upgrade key only works when you are
upgrading an already installed OS. It cannot be used to install cleanly by
booting the disk. You can, however, boot from the disk and install the
proper version without the key, then reinstall a second time as an upgrade
using the key (this is an unsupported workaround, but it does work).

If you format or repartition, yes. Otherwise the existing install and user
files are moved to windows.old where you can access them later. Do not rely
on this to save your data. There is no excuse for not doing a proper backup
of your data files prior to do anything of this nature.

No, but you will likely need to use the phone activation method since that
key has already been used to activate once. You may reactivate the key on
the same machine as many times as you please. If it's a retail key, you can
also migrate it to another system as long as you only have it installed on
one machine. OEM keys cannot be moved to a new machine.
