My question is if I have retail version of vista ultimate 64 bit and on the
system I have vista home premium 32 bit can I overwrite it with a install
I am trying to utilize the 6 gig of ram installed on the system

Will this allow me to overwrite it and not lose all the programs or data on
the hard disk

Apparently you have to overwrite. It lokoks like you can't do a direct
upgrade - it looks like basically a clean install.

From this page, it looks like the drive is cleared as part of the v64
"custom" install. You must back up your data and reinstall programs.

You also have to be sure that you have a 64bit processor installed and that
your MOBO does in fact support more then 4GB of memory.
