Server 2003 Upgrade to 2008 Failes at 62%

I'm trying to migrate a server from Server 2003 to Server 2008 and the
process appears to get about 62% - 63% done and then fails for no
apparent reason and then the upgrade process rolls back to Server 2003.

Doing a search of the hard drive, I found four setupact logs's and two
setuperr log files. I'm sorry to say that the one log has over 51,000
and the other two have over 107,000 and I just can't seem to find the
section that indicates where the problem is.

Can anyone give me some idea what I'm looking for and then I could just
post a segment.

The entry would be the last line in the logs.

But in-place upgrades are almost always very bad and very ugly,...many, if
not most, fail. Install from scratch,..even if you have to use a temporary
"swing server" to get it done.
