Service Pack 2 setup error

I had completed a repair of WinXP which leaves it with SP1, I have the
MS CD of SP2 and tried 3 times with it and once with the download from
MS, it gets 3/4 finished with copying files and then gets a message
Access denied Setup...., Service Pack 2 Setup Error. Any thoughts on
this.
