SP 2 installation error

I am installing SP 2 to XP professional. I received the
message, "Setup needs to close Microsoft Money Express
2002 and is unable to do so. Please close Microsoft
Money Exp.2002 and click Retry."

As far as I know MM is not running. When I click control
Alt Del to see the programs which are operating, there
are none other than Install.

I tried to run MM so that I could "close" it; however, I
receive the error "another installation program is
running, please complete the installation..

Any suggestions?

Perform a "clean boot", then proceed to install SP2.
