SP2 install gives 0x0000009C error message

I've tried to install SP2 four separate times, now, 3 times from the website,
once from an SP2 CD. I get the following error message:

0x0000009C (0x00000000, 0x8054DA70, 0xA2000000, 0x8C010400)

I'd rather not format my machine, because I don't want the same thing to
happen after going through all that trouble... any ideas??? Thanks.
