SP2 Issues Cannot Copy DLL Failed Installation

I am trying to load SP2, and mid-way through the process, I start getting pop
ups stating:

Cannot copy shell32.dll
Cannot copy clbcatq.dll
Cannot copy msxml.dll
Cannot copy snmpsnap.dll
Cannot copy fpmmc.dll
Cannot copy asyncmac.sys
etc.

What gives? I have cencelled the installation.

I should have stated that I have already been through the preperation check
list, and I have already been through the Windows SP2 trouble shooting
document. I would agree that it would seem that I have programs running in
the background, but I'll be darned if I can find anything left.
