SP2 Update Causing BSOD "Write to read only memory"

I can run XP Pro SP1, XP 64Pro, two Linux packages with no problem. As soon
as I try to update to SP2 I get BSOD with the following Stop Error message
"Write to read only memory 0x80944B03, 0x00944121,0xB5D70B70,0x000000BE"

Tried searching for ideas in all of the normal places, but am scratching my
head. This is a two week old machine with very little SW running on it.
Have checked the seating of the cards and memory, did a memcheck test and
everything looks good. On top of that, it screams with no probs under the
OSes I mentioned above, so hardly think that I have a HW issue that only SP2
finds.

I tried to run the MSFT debugger under XP64 but am running into a few
challenges that will take me a bit to work through. If anyone can read a mini
dump file, I'll be glad to send a couple.

I finally got to a senior MSFT support rep ****in the USA!!!! and was told
that SP2 is a catastrophe. We agreed and decided to back out of SP2 and
write it off as one of MSFT's biggest mistakes over the years.

Just wanted to let those still struggling with an SP2 update to give up,
pack it up and wait for Vista or roll back to SP1. (Or go with a Linux
distribution.......)

My two computers have never been more reliable since installing SP2
