SP2 from Update fails download; SP2 from 3rd party source crashes

I've tried to download SP2 from the Win Update site, and every time it fails
(the error # is 80242FFF). Alternatively, if I download the express installer
from any other site (Betanews, Fileplanet, etc.), it begins, does its thing
for a minute or two and then the setup program disappears without a trace -
no error message. This happens at different times during the setup, not
always at the same moment. Any other solutions?

the following two logs:
c:\windows\windowsupdate.log
c:\windows\svcpack.log

Your help on investigating this issue is appreciated.
