Windows XP? Try downloading the update manually via DownloadCenter:
http://www.microsoft.com/downloads/d...b-dc23923d09e7

*Save* the file to a folder your harddisk (let me call it "C:\Downloads"),
do *not* execute it from within your browser.

Afterwards type the following under "Run" in the Start menu:
"C:\Downloads\WindowsXP-KB929338-x86-ENU.exe /o"

The parameter "/o" (o like OEM) should do the trick for you.

HTH,
Freudi

Freudi gave you an easy simple solution that would hopefully solve your
problem. Oh well, your loss/lost.

Here's the hard way -

How to troubleshoot Windows Update or Microsoft Update when you are
repeatedly offered an update
http://support.microsoft.com/?kbid=910339

Windows Update already installed
http://www.updatexp.com/windows-upda...installed.html

Windows Update says the update is still needed

I uninstalled it from ADD REMOVE PROGRAMS. Then I installed it with custom
install, from the MS web site. Then SHUT DOWN not RESTART. And this worked
fine.

Freudi's suggestion worked for me, after I spent days trying other offered
solutions that didn't work.

See http://support.microsoft.com/kb/262841 for some and
http://www.microsoft.com/technet/pro.../winupdte.mspx
