I purchased a oem copy of ultimate and really should have investigated before.
I want to run more memory than 4GB so would like to upgrade to 64 bit
ultimate.

Can an oem ultimate 32bit be upgraded to a 64bit ultimate?

You would have to buy the 64 bit version if you can not exchange what you
have with the sales organization (doubtful that you can). MS is not going to
assist you with an OEM version in this case.

Just want a really fast smooth system. i was thinking with lots of memory
hard drive bottle necks would be almost wiped out. Plus i'm waiting for
crysis and half life 3. they are bound to be optimised for the 64 bit version.

Do either or both vista's make use of daul cores?

Yes.

While all editions of Windows Vista can support multiple core CPUs,
only Windows Vista Business, Ultimate, and Enterprise
can support dual processors.
