update install fails w2003

We have 2 win 2003 server machines running. One, a clean install where
update runs fine. The 2nd is a 2000 to 2003 upgrade. Update downloads fine,
installs to the point where the progress bar is all the way to the end but
never finishes the install. Have tried numerous times including clearing
temp internet files and deleting the class object forcing a reload of the
update software.

Any help would be appreciated, Thanks

Did you try a manual install off the internet ?
