If you are still thinking about this, you better plan this proyect in several
tasks.
First you need to upgrade you domain to windows 2008, there are a lot of
changes between 2000, 2003 and 2008. When that task is up and running, you
network is stable, your machines are doing the logging process and there is
no authentication issues then you can start thinking about exchange.
Second , learn about the different roles involve in exchange 2007 (are you
planning on using VOIP services?)
Then after you are clear what you want, start by selecting the hardware
needed (it has to be 64 bit for exchange)

Where the new exchange 2007 is in place the movement of the mailboxes is the
easy part.
