Upgrade OEM Vista to Retail Win7

I understand the OEM license that comes with a PC has restrictions that the
retail version does not have. Do any of these restrictions carry forward to
the new retail OS when an OEM version of an OS is used as the basis for the
Upgrade version of the newer OS?
