Yes, just stick the XP CD in your CDROM and follow the directions. You
do need to use a retail or upgrade version for it to work. A generic OEM
version cannot upgrade.

I can't get (find) upgrade version. I have retail version of XP pro w/sp1
which gives me no possibility to upgrade (only the new installation - the
upgrade option is dissabled, not accessible).

Sounds like you have a generic OEM version, not a retail version. If
that's the case, all you can do is back up your data and do a clean install.

I know about clean installation (XP alone or XP beside 98).
The XP CD I bought was sold as retail. I was told by the seller that XP
upgrade does not exsist (at least not in our country, regardless the
languige). I'll check with the seller again.
Thanks

As Slovenia is a member of the EU, the seller is not telling the truth.
Look at the number that you got that you have to put in to install it.
Does it say OEM right above it? Does the packaging say "For distribution
only for a new PC"? Did it come in a big box?

In any event, you may want to clean install anyway to make sure you get
the NTFS file system rather than the FAT32 that comes with WIN 98. In
addition, if you have any beasties on your machine, you may have
problems with the install and when you go to put SP2 on.

I haven't got the box, but on CD is no sign of OEM. Maybe the reason of the
'problem' is that I started XP setup booting from XP CD and not starting XP
setup from inside 98 (as I was told by phone a few minutes ago). I'll try
this way and see what happens.

You should have a number you need to put in when installing. The little
piece of paper that has the number on it will also have either Retail or
OEM on it, above the number.

Whether you clean install or upgrade, back your data up first.
